This announcement is made by Beijing North Star Company Limited (the “Company”) pursuant to Rule 13.51(1) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited. Based on the Company’s operation and business development needs, as well as the provisions of the Guidance for the Articles of Association of Listed Companies (2019 revision) (《上市公司章程指引》 (2019 年修訂)) promulgated by the China Securities Regulatory Commission, the board of directors of the Company (the “Board”) passed a resolution in relation to proposed amendment to certain provisions of the articles of association of the Company (the “Articles of Association”) on 25 June 2019. Details of the proposed amendment to the Articles of Association (the “Proposed Amendment”) are set out in the Appendix to this announcement.
