In order to further improve corporate governance and in accordance with the PRC laws and regulations including the Guidelines for the Articles of Association of Listed Companies (amended in 2016), the board of directors of the Company (the “Board”) proposed a resolution in relation to proposed amendments to certain provisions of the articles of association and the rules of procedure of the Board on 21 March 2018, which will be proposed at the 2017 annual general meeting (the “AGM”) for consideration and approval. Relevant amendments to the articles of association and the rules of procedure of the Board are set out in Appendix I and Appendix II to this announcement, respectively.
