References are made to the announcements of Beijing North Star Company Limited (the “Company”) dated 17 April 2015, 5 June 2015, 17 July 2015 and 24 July 2015 and the circular dated 27 May 2015, in relation to, among other things, proposed non-public issuance of new A shares of the Company (the “Non-public Issuance”).

The Company received the Notice Regarding CSRC’s Feedback on the Review of Administrative Permission Items (《中國證監會行政許可項目審查反饋意見通知書》) (No. 152413) issued by China Securities Regulatory Commission (the “CSRC”) on 12 November 2015, stating that the CSRC has reviewed the Application Documents for Non-public Issuance of Shares of Beijing North Star Company Limited (《北京北辰實業股份有限公司非公開發行股票申請文件》) submitted by the Company according to laws, and the Company is currently required to make written statements and explanations on the relevant issues and submit the responses in writing to the corresponding department for administrative permission of the CSRC within 30 working days.
